Gold Fields is continuing to make the case for a takeover of Australia’s Northern Star Resources after the Australian miner rejected an approach valued at roughly A$38.7 billion, or about US$27 billion.
The Johannesburg-headquartered miner has been meeting investors in Australia as it weighs its next move. Reuters reported that Gold Fields could revise the proposal after Northern Star’s board said the initial cash-and-share offer undervalued the company.
The strategic prize is scale. A combination would create one of the world’s largest gold producers, with Gold Fields estimating billions of dollars in potential synergies across operations, procurement, maintenance, corporate functions and tax.
Northern Star has argued that the timing and valuation do not adequately compensate shareholders, while Gold Fields is trying to persuade the market that the combination offers a stronger global portfolio. No revised binding offer has been announced, and there is no certainty that a transaction will result.
For South African business, the pursuit is notable because it would be one of the most consequential cross-border moves by a JSE-listed mining group in years — and another test of whether global mining consolidation can overcome investor caution around large acquisitions.
